1. Acceptance of Terms
By using our website and services, you agree to these Terms. If you do not agree to these Terms, you should not use our website or services.

 

2. Services
Celestial provides digital marketing, website development, SEO, lead generation, and related services. The specifics of the services provided will be detailed in individual contracts or service proposals agreed upon between Celestial and the client ("Client").

 

3. User Responsibilities
As a user of our website and services, you agree to:

• Provide accurate and complete information when requested.

• Use our website and services only for lawful purposes.

• Refrain from using our website and services in a manner that could damage, disable, overburden, or impair any Celestial server or network.

• Maintain the confidentiality of any account information and not share your account with others.

 

4. Confidentiality
Celestial will maintain the confidentiality of any confidential information received from the Client and will not disclose any such information without the Client's prior consent, except as required by law.

 

5. Intellectual Property
All content, materials, and intellectual property developed by Celestial in the course of providing services to the Client will remain the property of the Client, unless otherwise agreed upon in writing.

 

6. Fees and Payment
The Client agrees to pay Celestial the fees as detailed in the service proposal. Payments are due within 7 days of receipt of the invoice unless otherwise specified. Late payments may incur additional charges.

 

7. Taxes
All statutory taxes and levies applicable to the services provided by Celestial will be borne by the Client. The Client may deduct TDS as per applicable law at the time of payment.

 

8. Indemnity
The Client and Celestial agree to indemnify and hold each other harmless from any losses, damages, or expenses arising from any breach of these Terms or any other agreement between the parties.

 

9. Non-Solicitation
During the term of the agreement and for one year following its termination, neither party will solicit or hire any employee or contractor of the other party without prior written consent.

 

10. Force Majeure
Neither Celestial nor the Client will be liable for any delay or failure to perform due to circumstances beyond their reasonable control, including but not limited to acts of God, war, riot, pandemic, and natural disasters.

 

11. Modifications to Terms
Any modifications to these Terms will be effective only if agreed upon in writing by both parties.

 

12. Waiver
Failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by both parties.

 

13. Termination
This agreement may be terminated by either party with 30 days' written notice. Upon termination, the Client will pay for all services rendered up to the date of termination.

 

14. Governing Law
These Terms will be governed by and construed in accordance with the laws of the jurisdiction in which Celestial is located. Any disputes arising out of these Terms will be subject to the exclusive jurisdiction of the courts in Faridabad, Haryana, India.

 

15. Arbitration
Any disputes arising out of or related to these Terms will be resolved through arbitration in accordance with the Indian Arbitration Act. The place of arbitration will be Faridabad, Haryana, India.

17. Returns and Refunds
Since Celestial provides digital marketing and related services rather than physical products, there are no returns or refunds once a service has been provided. All sales are final, and the Client acknowledges and agrees that payments for services rendered are non-refundable.
